Everest Industries: Update In Relation To The Investment Made In Amplus Ampere Private Limited (Amplus) And To Avail 5.5 Mwp Solar Power Under A Group Captive Policy From The Solar Plant Of Amplus

Further to our intimations dated May 19 2025 and August 28 2025 regarding allotment of 17 60 000 equity shares of Rs. 10/- per equity share of Amplus Ampere Private Limited ("Amplus") we wish to inform you that the Company has transferred / disinvested 17 59 999 equity shares of Rs 10/- each (3.12%) for a consideration of Rs. 1 75 99 990/- to Amplus Energy Solutions PTE Ltd on January 20 2026 as per the terms contained in Share Subscription and Shareholders Agreement to maintain compliance with Group Captive norms. Kindly note that Amplus Energy Solutions PTE Ltd is not a related party.
