Esab India: Board Meeting Outcome for Declaration Of Interim Dividend For The Financial Year 2025-26

In pursuance of Regulation 33 read with Regulation 30 of Securities Exchange Boardof India (Listing Obligations and Disclosure Requirements) Regulations 2015 we aresending herewith the textual matter of Unaudited Financial Results for the quarter andsix months ended 30th September 2025. Please note that the results have beenreviewed by the Audit Committee and approved by the Board of Directors at theirmeetings held on 10th November 2025. The meeting of the Board of Directorscommenced at 19:30 hours and concluded at 20:30 hours.The Board of Directors of the Company at its meeting held today i.e. 10th November 2025 has declared Interim Dividend of Rs. 25/- per equity share of Rs.10/- each (250 %) for the financial year ending 2025-26 resulting in an outflow of Rs. 38 48 25 500 (subject to deduction of tax at source where applicable). The said Interim Dividend declared by the Board of Directors would be paid to the equity shareholders on or before 08th December 2025 .
