JMG Corporation: Announcement under Regulation 30 (LODR)-Open Offer - Updates

We wish to inform you that the Committee of Independent Directors of the Target Company at its meeting held today i.e. Thursday February 12 2026 had discussed analyzed and reviewed the Open Offer by Mr. Neerav Bairagi (Acquirer) for acquisition of upto 60 21 053 equity shares constituting 26% of the total voting share capital of the Target Company pursuant to the Public Announcement dated Thursday December 04 2025 Detailed Public Statement dated Thursday December 11 2025 and Letter of Offer dated Thursday December 18 2025.In this regard please find enclosed herewith the Recommendations of the Committee of Independent Directors on the Open Offer to the Shareholders of the Target Company under Regulation 26(7) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011 and subsequent amendments thereto. Further the said meeting commenced at 10:00 AM and concluded at 11:00 AM.
