KG Denim: Board Meeting Outcome for Outcome Of Meeting Of Board Of Directors Pursuant To Regulation 30 Of SEBI (Listing Obligations And Disclosure Requirements) Regulations 2015

1. Re-designation of Mr.K.G.Baalakrishnan (DIN:00002174) from Executive Chairman to Non-Executive Chairman of the Company with effect from 4.8.2026. Mr.K.G.Baalakrishnan has expressed his desire to step down from his Executive responsibilities while continuing to serve as Non-Executive Chairman of the Company. 2. Based on the recommendation of Nomination and Remuneration Committee and approval of Audit Committee Mr. B Sriramulu (DIN:00002560) is re-appointed as the Managing Director of the Company for a further period of three years with effect from 3rd November 2026 subject to the approval of members at the ensuing Annual General Meeting.3. Based on the recommendation of Nomination and Remuneration Committee and approval of Audit Committee Mr. R. Selvakumar (DIN:00051608) is re-appointed as a Whole-time Director of the Company for a further period of three years with effect from 7th August 2026 subject to the approval of members at the ensuing Annual General Meeting.
