In compliance with Regulations 30 and 51(1) read with Schedule III of the Listing Regulations we wish to inform the stock exchanges that the Board of Directors of the Company (the Board) at its meeting today i.e. February 19 2022 has considered and approved the Scheme of Amalgamation of the Company with Kalpataru Power Transmission Limited (Transferee Company) and their respective shareholders. The Scheme is subject to receipt of necessary approvals from the Honble National Company Law Tribunal stock exchanges the Securities and Exchange Board of India shareholders creditors and such other authorities as may be required.In terms of the Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09 2015 we are furnishing herewith the details of the Scheme as Annexure I.
