Hira Ferro Alloys: Board recommends Final Dividend

Hira Ferro Alloys Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 24, 2014, inter alia, has transacted the following:

1. Recommendation of Final Dividend for FY 2013-14.

The Board of Directors of the Company has recommended payment of Final Dividend of Rs. 0.60/- paisa per share (i.e. 6%) on the face value of Rs. 10/- each for the financial year 2013-14. The same will be paid to all the eligible shareholders on or before October 25, 2014.

2. Constitution of Corporate Social Responsibility Committee:

The Board of Director has constituted Corporate Social Responsibility (CSR) Committee.

3. Change in the nomenclature of Investor Grievance Committee,

The Board of Directors of the Company has changed the nomenclature of Investor Grievance Committee and rechristened the said committee as ?Stakeholders Relationship Committee?.

4. Change in the Nomenclature and Re-constitution of Remuneration Committee

The Board of Directors of the Company has changed the nomenclature of Remuneration Committee to ?Nomination and Remuneration Committee?.

5. Key Managerial Personnel

The Board designated the following officials as the Key Managerial Personnel, pursuant to Section 2 (51) of the Companies Act, 2013 read with the Section 203 of the Act,

a) Mr. Narayan Prasad Agrawal, Managing Director,

b) Mr. Dilip Chauhan, Chief Financial Officer (CFO)

c) Mr. Mohit Chande, Company Secretary & Compliances Officer

6. Disclosures made by Directors

The Board taken on record the Disclosure of Interest made by all the Directors and also the declarations made by the Independent Directors pursuant to section 149 (7) of the Companies Act, 2013.
