Vistar Amar: Announcement Under Reg 30 (LODR) - Update

Pursuant to Reg 30 of SEBI (LODR) Reg 2015 we wish to inform that the Company has received an email communication dated February 18 2026 from BSE Limited intimating that the waiver application has been rejected for a fine of Rs.5 42 800/- (inclusive GST) levied on the Company for an alleged non-compliance with Reg 17(1) of SEBI (LODR) relating to the composition of the Board of Directors for the quarter ended September 30 2025.The Company had without prejudice to its rights and contentions paid the fine amount of Rs.5 42 800/- (Inclusive GST) on December 19 2025 pending the disposal of the waiver application.The Company confirms that the composition of the Board of Directors is in compliance with Reg 17(1) of SEBI (LODR) w.e.f. the quarter ended December 31 2025 and continues to remain compliant thereafter.
