Premier Explosives: Outcome of Board Meeting (Code of Conduct of Fair Disclosure)

Premier Explosives Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 20, 2015,
have approved the following-

1. Appointment of Ms. K. Vijayashree as the Company Secretary and Compliance Officer of the Company.

2. Constitution of Risk Management Committee.

3. Adoption of Insider Trading Code in terms of SEBI (Insider Trading) Regulations, 2015.

Insider Trading Code has been formulated to adhere to the Regulation 8 of the SEBI (Insider Trading) Regulations, 2015 relating to the Code of practices for fair Disclosure of Unpublished Price Sensitive Information and Regulation 9 relating to the Code of Conduct for regulating, monitoring and reporting of trading by Insiders.

The Code of Practices for Fair Disclosure of Unpublished Price Sensitive Information has been published on the Companys website.
