Pursuant to the 33rd Annual General Meeting of the Company, which was held on 27th September, 2017, we had intimated you on 29th September, 2017 the Voting Results in respect to the resolution passed/approved by the Shareholders of the Company in such meeting.
The Company had moved one resolution w.r.t. adoption of new set of Articles of Association (AoA) of the Company, which is in line with the Companies Act, 2013 and the Rules framed thereunder. The said resolution was duly approved with the requisite majority of the Shareholders.
Upon such approval, we had filed the requisite e-Form MGT-14 to the Registrar of Companies (ROC) vide SRN G57697542 on 24th October, 2017 for the approval. The said Form has been approved by the ROC on 31st October, 2017. An e-mail received from ROC Office is also attached.
The draft of the Articles of Association which has been adopted by the Members at the aforesaid Annual General Meeting is already available on the Companys website www.cals.in.
